Minutes of Regular Meeting NRPPD Board of Directors, January 28, 2016, Unapproved

The regular meeting of Directors of Northwest Rural Public Power District (NRPPD) was held in the Conference Room of the District January 28, 2016 at 1:00 PM.

The meeting was called to order by the president, Lee Ahrens.  Directors who answered the roll call were Bruce Troester, Lee Ahrens, Gary Fuchser, Mike Van Buskirk, Wayne Cobb, Terry Terrell, and Robert Rickenbach.

Also present were Chance Briscoe, manager; Arlene Lahaye, office manager; Russ Reichenberg, line superintendent; Ron Housh, planning engineer; Les Tlustos, consumer services; Terry Curtiss, District Counsel; and Vicky Henwood.

The Open Meeting Law posting was acknowledged. 

All votes are unanimous upon a roll call vote unless noted.

A motion was made by Robert Rickenbach, duly seconded by Gary Fuchser to accept the order of business as published and supplemented at this meeting; motion carried.

To begin the annual reorganization of officers a motion was made by Gary Fuchser, duly seconded by Robert Rickenbach to retain the same officers for 2016 as follows: 

President: Lee Ahrens

Vice President: Wayne Cobb

Treasurer: Robert Rickenbach

Secretary: Bruce Troester

Motion Carried.

A motion was made by Bruce Troester to nominate Terry Terrell as Assistant Treasurer, Mike Van Buskirk seconded the motion. A motion was made by Wayne Cobb to cease the nominations and elect Terry Terrell as Assistant Treasurer and cast a unanimous vote for Terry Terrell; Lee Ahrens, aye; Mike Van Buskirk, aye; Bruce Troester, aye; Terry Terrell, abstain; Wayne Cobb, aye; Robert Rickenbach, aye; Gary Fuchser, aye; motion carried.

A motion was made by Bruce Troester, duly seconded by Mike Van Buskirk to appoint Arlene Lahaye as recording secretary; motion carried.

A motion was made by Wayne Cobb to nominate Gary Fuchser as the Tri-State representative for Northwest Rural Public Power District. A motion was made by Robert Rickenbach to cease nominations and elect Gary Fuchser as NRPPD’s Tri-State representative, Terry Terrell seconded the motion. Lee Ahrens, aye; Mike Van Buskirk, nay; Bruce Troester, aye; Terry Terrell, aye; Wayne Cobb, aye; Robert Rickenbach, aye; Gary Fuchser, abstain; motion carried.

A motion was made by Wayne Cobb to nominate Robert Rickenbach as NRPPD’s NREA Director and voting delegate. A motion was made by Gary Fuchser to cease the nominations and elect Robert Rickenbach as the NREA Director, Wayne Cobb Seconded the motion; motion carried.

A motion was made by Wayne Cobb, duly seconded Mike Van Buskirk, that the minutes of the meeting held December 21, 2015 be approved as published and provided to all directors on January 21st; motion carried.

A discussion was held on the Nebraska Water Balance Alliance (NWBA) donation. A motion was made by Robert Rickenbach, duly seconded by Wayne Cobb to table the NWBA issue again until the February meeting.

Chance reviewed proposed changes to Tri-State’s Policy 101; Qualifying Facility Capacity and Energy Purchase Policy. Chance also discussed the letter from DMEA urging the Tri-State board to reject the proposal to revise Policy 101 that would implement a “lost revenue” recovery fee affecting its purchased power agreement with local generator.

Chance read a letter he had written in support of rejecting Tri-State’s proposed revision to Policy 101. The potential legal matters regarding adoption of the proposed changes, the final recommendations of the Tri-State Contract Committee to investigate finding a way to accommodate additional self/local generation, and the cooperative principle of Cooperation Among Cooperatives were the major factors in rejecting the proposed policy revisions at this time. A motion was made by Wayne Cobb, duly seconded by Bruce Troester to approve the letter of support; motion carried.

Arlene reviewed the December financial reports, and Chance reviewed the load charts for December. A motion was made by Bruce Troester, duly seconded by Wayne Cobb to accept the December financial reports; motion carried.

Russ reviewed the Safety Statistics for December. The Safety Report was discussed including a discussion on injuries and a near miss incident that occurred during the month. The training that occurred was also discussed. A motion was made by Wayne Cobb, duly seconded by Gary Fuchser to accept the December Safety Report; motion carried.

Ron reported on a new small business that will be located on the Table that will require a new three phase service and will produce a product called Biochar, which is the byproduct of burnt wood at a high temperature.

During the General Manager’s report, Chance informed the Board that he has had some contact with NRTC on solar projects. Chance also reported that there has been little support for the resolution on Tri-State’s transparency of the Kit Carson buy out. 

An item for the February Agenda will be the NEWBA Donation.

A motion was made by Bruce Troester, duly seconded by Wayne Cobb to appoint Mike Van Buskirk as the voting delegate for NRECA, NRUCFC and NRTC at the Annual Meeting in New Orleans; Lee Ahrens, aye; Mike Van Buskirk, abstain; Bruce Troester, aye; Terry Terrell, aye; Wayne Cobb, aye; Robert Rickenbach, aye; Gary Fuchser, aye; motion carried

Terry Curtiss discussed the 2016 Nebraska Legislative Bill LB 1068 “Adopt the Electric Customer Protection Act and provide duties for the Public Service Commission”. The Bill was introduced by Senator Haar.

Lee Ahrens presented Mike Van Buskirk with his Certificate for completion of the CCD Gold program.

At 3:10 PM a motion was made by Bruce Troester, duly seconded by Gary Fuchser to go into an executive session to discuss legal issues; motion carried.  

Russ Reichenberg, Ron Housh, Les Tlustos and Vicky Henwood left the meeting.

At 3:27 PM a motion was made by Bruce Troester, duly seconded by Mike Van Buskirk to come out of executive session; motion carried.  

There being no further business to come before the Board, the president declared the meeting adjourned at 3:28 PM.
